Terms and Conditions for Alberta, British Columbia, Manitoba, Atlantic and Ontario

1. Purchase of advertisement and/or website services

Yellow Pages Group Co. or one of its designated affiliates (« YPG ») sells to the client, who purchases same, the print or electronic advertisement, Search Engine Solutions and Electronic Guaranteed Placement (the « Advertisement ») and/or the website services described on the reverse side of this contract (the « Contract ») for the indicated monthly or lump sum fee. As applicable, following the date of the execution of this Contract, YPG will publish the Advertisement in the edition of the Yellow Pages ^TM print and/or electronic directories and/or begin offering the Advertisement on or about the date indicated. Website services include the creation and development of a website (the « Website »), the registration or transfer of a domain name, and website hosting and support. Client acknowledges and agrees that the domain name shall remain the property of YPG for the entire term of the Contract. At the expiration of the Contract, provided the client is not in default of any amounts owing under this Contract, YPG will transfer the domain name to client, at the client's sole cost. YPG may, but is under no obligation to, post a generic privacy policy and terms of website use on the Website. Client acknowledges that the privacy policy and terms of use have not been tailored to the specific business of the client or uses of the Website and nevertheless agrees to assume all liability with respect to such privacy policy and terms of use.

2. Approval of the client's credit

The client acknowledges that this Contract is strictly conditional upon YPG's approval of the client's credit. YPG may cancel this Contract if it deems, at its sole discretion, that the client's credit is not satisfactory. The client therefore authorizes YPG to conduct all usual enquiries with third parties regarding the client's solvency and credit and to record in the client's file and disclose to third parties information regarding the client's credit.

3. Variable term and automatic renewal

At the end of the period identified on the reverse side of this Contract (the « Initial Term »), this Contract is automatically renewed for consecutive subsequent periods (each a « Renewal Period ») equal in length to the Initial Term, unless the client gives YPG a written notice of non-renewal at least 3 months before the end of the Initial Term or any Renewal Period. The client acknowledges that YPG may, from time to time, change the date of closing or of publication of the Yellow Pages^TM print directory following that for which the Advertisement was purchased, and that any Initial Term or Renewal Period, typically of 12 months, may be reduced or increased, at YPG's sole discretion, and the corresponding monthly or lump sum fee reduced or increased proportionally to the reduction or increase in the Initial Term or the Renewal Period. The parties agree that no adjustment to the fee shall be made when the Initial Term or Renewal Period is not reduced or extended by more than 1 month. Notwithstanding the foregoing, Search Engine Solutions and Electronic Guaranteed Placement Advertisements shall not be subject to automatic renewal.

4. Increase of fee

The monthly or lump sum fee due pursuant to this Contract may be increased annually by YPG, in accordance with its standard practices. The client shall pay YPG the increased fee upon receipt of a notice of increase from YPG.

5.Late charges

The client undertakes to pay the monthly or lump sum fee due pursuant to this Contract upon receipt of YPG's invoice which may be included in the client's telephone service provider's invoice or forwarded directly by YPG. An interest rate of 1.25% per month compounded monthly (16.07 % per year) applies to any amount remaining unpaid 1 month following receipt of the invoice.

6. Early termination and refusal to publish and/or host

YPG may terminate this Contract and refuse to publish or offer the Advertisement and/or host Website, upon notice to the client, if the client is in default to pay any amount owed to YPG pursuant to this Contract or to any other contract entered into with YPG.

7. No representations by ypg & no warranty of success for the client

The client acknowledges that, in order to promote its Yellow Pages^TM print and electronic directories, yellowpages.ca^TM website, and website services, YPG may, from time to time, convey data, including statistics, or other types of information, which illustrate the results obtained by certain YPG clients, or average results obtained by certain groups of YPG clients; YPG declares that such data is, to the best of its knowledge, accurate and that said data has been obtained from credible and independent sources. The client also acknowledges that such data is conveyed solely for informational purposes, that YPG does not conduct any analysis regarding the client's business and that, consequently, the results obtained by the client may vary considerably from client to client.

8. Client's warranty

The client warrants that it is authorized to publish the Advertisement under the heading and in the territory indicated on the reverse side of this Contract, and to display the Website, and that neither the Advertisement nor the Website violates any law. The client also warrants that it holds all permits or licences which may be necessary, including any license to practice issued by any professional or other regulatory body exercising its jurisdiction over the client's activities. The client further warrants that it holds all the rights to use the trade-marks or trade names included in the Advertisement or on the Website and that such use does not violate any provision of any law or statute, including the Trade-Marks Act,the Copyright Act and any other law or statute relating to intellectual property.

9. Limited liability of ypg, the client's telephone service provider and third party vendors

The client acknowledges that YPG produces, publishes, offers and hosts a very large number of advertisements and websites, that errors may thus occur and that YPG would not be able to provide the Advertisement and host the Website, on an economic basis, without the benefit of a limitation of liability clause. Consequently, the client also acknowledges that such a limitation of liability clause is a material basis of this Contract, that such a limitation of liability constitutes an essential consideration of YPG's undertaking to offer the Advertisement and website services for the fee agreed upon. In the case of any error, omission or interruption of hosting services, YPG's liability will be limited to the sum of the monthly payments or the lump sum due pursuant to this Contract for the Initial Term or any applicable Renewal Period. The client acknowledges that the present limitation of liability equally applies to the client's telephone service provider and third party vendors of YPG, if applicable.

10. Modifications to this contract by ypg

The client acknowledges that YPG may, from time to time, unilaterally modify this Contract if such modifications do not substantially affect the rights and obligations of the client. The client is bound by any such modifications from the momentthe client receives a notice to that effect. 11. Ypg's trade-marks and property of the advertisement

The client acknowledges that it is not authorized to use YPG's name or any of its trade-marks without the prior written consent of YPG. The client also acknowledges that YPG owns the intellectual property rights related to the Advertisement and Website and undertakes not to reproduce same without YPG's prior written consent.

12. Privacy provisions

If the client is an individual, YPG informs the client that the personal information contained in the client's file is accessible to employees or representatives of YPG in the performance of their duties. This file is kept by YPG's Customer Service, to which the client may address a request for access or changes at contactus.yp.ca/yellowpages or by calling 1-877-909-YELO(9356). The client authorizes YPG to include the client's name, address and telephone number and other general business information on its nominative list of clients for marketing purposes or charitable canvassing and to give this nominative list to its contracting partners for the same purposes; the client reserves the right to cancel such authorization at any time, upon request to YPG's Customer Service.

13. Jurisdiction

This Contract is governed by the laws applicable in the Canadian province where it is entered into.

Terms and Conditions for Quebec

1. Purchase of advertisement and/or website services

Yellow Pages Group Co. or one of its designated affiliates (« YPG ») sells to the client, who purchases same, the print or electronic advertisement, Search Engine Solutions and Electronic Guaranteed Placement (the « Advertisement ») and/or the website services described on the reverse side of this contract (the « Contract ») for the indicated monthly or lump sum fee. As applicable, following the date of the execution of this Contract, YPG will publish the Advertisement in the edition of the Yellow Pages ^TM print and/or electronic directories and/or begin offering the Advertisement on or about the date indicated. Website services include the creation and development of a website (the « Website »), the registration or transfer of a domain name, and website hosting and support. Client acknowledges and agrees that the domain name shall remain the property of YPG for the entire term of the Contract. At the expiration of the Contract, provided the client is not in default of any amounts owing under this Contract, YPG will transfer the domain name to client, at the client's sole cost. YPG may, but is under no obligation to, post a generic privacy policy and terms of website use on the Website. Client acknowledges that the privacy policy and terms of use have not been tailored to the specific business of the client or uses of the Website and nevertheless agrees to assume all liability with respect to such privacy policy and terms of use.

The client acknowledges that this Contract is strictly conditional upon YPG's approval of the client's credit. YPG may cancel this Contract if it deems, at its sole discretion, that the client's credit is not satisfactory. The client therefore authorizes YPG to conduct all usual enquiries with third parties regarding the client's solvency and credit and to record in the client's file and disclose to third parties information regarding the client's credit.

At the end of the period identified on the reverse side of this Contract (the « Initial Term »), this Contract is automatically renewed for consecutive subsequent periods (each a « Renewal Period ») equal in length to the Initial Term, unless the client gives YPG a written notice of non-renewal at least 3 months before the end of the Initial Term or any Renewal Period. The client acknowledges that YPG may, from time to time, change the date of closing or of publication of the Yellow PagesTMprint directory following that for which the Advertisement was purchased, and that any Initial Term or Renewal Period, typically of 12 months, may be reduced or increased, at YPG's sole discretion, and the corresponding monthly or lump sum fee reduced or increased proportionally to the reduction or increase in the Initial Term or the Renewal Period. The parties agree that no adjustment to the fee shall be made when the Initial Term or Renewal Period is not reduced or extended by more than 1 month. Notwithstanding the foregoing, Search Engine Solutions and Electronic Guaranteed Placement Advertisements shall not be subject to automatic renewal.

4. Increase of fee

The monthly or lump sum fee due pursuant to this Contract may be increased annually by YPG, in accordance with its standard practices. The client shall pay YPG the increased fee upon receipt of a notice of increase from YPG.

The client warrants that it is authorized to publish the Advertisement under the heading and in the territory indicated on the reverse side of this Contract, and to display the Website, and that neither the Advertisement nor the Website violates any law. The client also warrants that it holds all permits or licences which may be necessary, including any license to practice issued by any professional or other regulatory body exercising its jurisdiction over the client's activities. The client further warrants that it holds all the rights to use the trade-marks or trade names included in the Advertisement or on the Website and that such use does not violate any provision of any law or statute, including the Trade-Marks Act,the Copyright Act and any other law or statute relating to intellectual property.

9. Limited liability of ypg, the client's telephone service provider and third party vendors

The client acknowledges that YPG produces, publishes, offers and hosts a very large number of advertisements and websites, that errors may thus occur and that YPG would not be able to provide the Advertisement and host the Website, on an economic basis, without the benefit of a limitation of liability clause.
